Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you—whether individually or on behalf of a business entity (“you,” “user,” or “contractor”)—and Contractor Financing Solutions (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, software integrations, intake forms, loan payment calculators, and related point-of-sale customer financing technology services (collectively, the “Platform”).

By accessing or utilizing our Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you are expressly prohibited from using the Platform and must discontinue use immediately.

Role as Technology and Referral Platform (Non-Lender Status)

Contractor Financing Solutions is a financial technology and marketing referral service provider. Contractor Financing Solutions is not a direct lender, bank, or depository institution, and does not make credit decisions, issue loans, or broker securities.

• Third-Party Lending Networks: All financing products, interest rates, loan terms, and funding approvals are determined solely by independent third-party lenders, credit unions, and financial institutions participating in our lending network.
• No Lending Guarantee: Submission of an intake form, prequalification inquiry, or loan calculator estimate does not constitute a loan offer, commitment to lend, or pre-approval guarantee.
• Independent Credit Evaluation: Participating lenders conduct their own underwriting, credit checks, and compliance reviews in accordance with applicable federal and state lending regulations.

Eligibility and Merchant Representations

To register, access merchant tools, or submit customer financing inquiries via the Platform, you represent and warrant that:

• You are at least 18 years of age and possess the legal capacity to enter into binding agreements.
• If representing a business, you have full authority to bind the contractor, trade business, or home services entity to these Terms.
• All contractor licensing, insurance, registration numbers, and tax identification details provided during onboarding are accurate, active, and compliant with applicable state and local jurisdiction requirements.
• You will not misrepresent loan terms, fees, interest rates, or project costs to your clients, nor use high-pressure tactics to solicit financing applications.

Loan Estimators and Calculator Disclosures

Interactive loan calculators, payment estimators, and interest rate charts displayed across the Platform are provided strictly for illustrative and informational purposes. Exact monthly payments, annual percentage rates (APR), closing fees, and repayment schedules depend on individual applicant creditworthiness, lender underwriting criteria, loan amounts, and selected loan terms. Final terms are governed exclusively by the credit agreement executed between the borrower and the funding lender.

Prohibited Platform Activities

You agree not to use the Platform for any purpose that violates federal, state, or local laws. Prohibited actions include, but are not limited to:

• Submitting fraudulent, unauthorized, or fabricated personal or business information through loan inquiry or prequalification forms.
• Engaging in unauthorized framing, scraping, reverse engineering, or data extraction of Platform architecture, code, or calculator algorithms.
• Attempting to bypass security mechanisms, access controls, or SSL/TLS encryption protocols.
• Using our services to fund unlicensed contracting, deceptive trade practices, or activities in violation of consumer protection standards.

Intellectual Property and Proprietary Rights

All software, proprietary algorithms, form layouts, branding, graphics, text, and user interfaces on the Platform are owned by or licensed to Contractor Financing Solutions and are protected by applicable copyright, trademark, and intellectual property laws. Users are granted a limited, revocable, non-exclusive license to utilize customer intake forms and calculator widgets solely for legitimate business operations aligned with these Terms.

Limitation of Liability and Disclaimer of Warranties

The Platform and all associated tools are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, Contractor Financing Solutions disclaims all liability for:

• Any lender’s denial of credit, loan modifications, disbursement delays, or contractual disputes between borrowers and participating lending institutions.
• Project disputes, workmanship issues, payment defaults, or non-performance arising between contractors and their project clients.
• Direct, indirect, incidental, consequential, or punitive damages resulting from platform downtime, data errors, or third-party service interruptions.

Indemnification

You agree to defend, indemnify, and hold harmless Contractor Financing Solutions, its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, violation of state licensing laws, or fraudulent submissions on behalf of clients or commercial entities.

Governing Law and Dispute Resolution

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of such courts.

Modifications and Termination

We reserve the right to revise, update, or modify these Terms at any time. Changes will be posted to this page with an updated “Last Updated” date. Continued use of the Platform after revisions indicates acceptance of the amended Terms. We reserve the right to suspend or terminate merchant access to our financing portals immediately and without notice for conduct violating these Terms.
